Business Ethics

The purpose is to have a short form clause addressing governance related issues without specific reference to a buyer’s code of conduct.

The Supplier must conduct and must ensure that its business partners conduct their business in an ethical manner and act with integrity that avoids all forms of: corruption, bribery, or payment or acceptance of other inappropriate financial benefits, money laundering activities, violations of national and international sanctions and export control laws, in particular UN, US, EU, and UK, and violations of anti-trust and other competition laws and regulations. The Supplier has in place and will continue to maintain and evolve, as relevant, appropriate management systems and compliance policies to ensure compliance with applicable laws and regulations. The Supplier must keep appropriate documentation and records to enable verification of compliance with applicable laws and regulations. The Supplier must actively mitigate any actual or potential negative impacts from its operations that may affect human rights of workers in its own operations or value chain or the environment or surrounding communities.
